Terms of Service

You must be at least 18 years old to create an account on Kaleio. Minors aged 13–17 may use Kaleio only with the consent and supervision of a parent or legal guardian who agrees to these Terms on their behalf. Use of Kaleio by anyone under 13 is strictly prohibited.

By using the Service, you represent that (a) you are at least 18 years old, or (b) you are between 13 and 17 years old and have obtained parental or guardian consent, and (c) your use of the Service complies with all applicable laws and regulations.

If you are using Kaleio on behalf of a church, nonprofit organization, or other entity, you represent that you have authority to bind that entity to these Terms, and these Terms apply to that entity as well.

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@kaleio.app if you become aware of any unauthorized use of your account. We are not liable for losses or damages arising from your failure to safeguard your credentials.

You may not create accounts on behalf of others without authorization, use automated means to create accounts, or create accounts with false or misleading information.

Kaleio is a church management and community platform providing tools including, but not limited to: member management, online giving, attendance check-in, prayer wall, cell groups, sermon management, devotionals, Bible reading plans, volunteer scheduling, pastoral care dashboards, soul winning logs, and ministry gamification.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

Free trial. New church administrator accounts are eligible for a 30-day free trial with full access to their selected plan tier. No credit card is required to start the trial. At the end of the trial period, continued use of the Service requires a paid subscription.

Subscription plans. Kaleio offers tiered subscription plans based on congregation size. Current pricing is available at kaleio.app/pricing. We reserve the right to change subscription pricing with 30 days' advance notice.

Billing. Subscription fees are billed monthly or annually in advance. Annual billing is non-refundable except as described in our refund policy. Monthly billing may be canceled at any time; cancellation takes effect at the end of the current billing period.

Platform giving fee. In addition to subscription fees, a platform fee of 0.5% applies to all digital giving processed through Kaleio. This fee is separate from Stripe's payment processing fees and is disclosed to administrators and donors at the point of transaction.

Stripe. Payment processing for subscriptions and online giving is handled by Stripe. Your use of Stripe's services is subject to Stripe's own Terms of Service and Privacy Policy. Kaleio does not store full credit card or bank account numbers.

Church Growth Scholarship. Qualifying church plants and congregations experiencing financial hardship may apply for reduced subscription pricing. Scholarship determinations are made at Kaleio's sole discretion. Scholarship recipients may not transfer scholarship pricing to other organizations.

You agree to use Kaleio only for lawful purposes and in a manner consistent with the platform's intended purpose of supporting church communities. You agree not to:

• Post content that is illegal, defamatory, harassing, threatening, abusive, obscene, or otherwise objectionable
• Use the platform to solicit funds for purposes unrelated to your church or ministry without disclosure
• Impersonate any person, church, or organization
• Attempt to gain unauthorized access to any account, system, or network
• Use automated tools, bots, or scrapers to access or extract platform data
• Interfere with or disrupt the integrity or performance of the Service
• Transmit viruses, malware, or other harmful code
• Use the platform to process payments for purposes other than legitimate charitable giving or church-related commerce
• Violate any applicable law or regulation, including financial regulations, anti-money-laundering laws, or tax laws

We reserve the right to remove content, suspend, or terminate accounts that violate these standards without prior notice.

Your content. You retain ownership of content you create and submit to Kaleio, including prayer requests, testimonies, sermon notes, and profile information ("User Content"). By submitting User Content, you grant Kaleio a limited, non-exclusive, royalty-free license to store, display, and transmit that content solely as necessary to provide the Service to you and your church community.

Kaleio's content. All software, design, text, graphics, features, and functionality of the Kaleio platform are owned by Kaleio Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any portion of the Service without our express written permission.

Feedback. If you submit ideas, suggestions, or feedback to us, you grant Kaleio an irrevocable, perpetual, royalty-free license to use that feedback without any obligation to you.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.

Church administrators are responsible for ensuring that their use of Kaleio, including how they access and use member data, complies with applicable privacy laws including GDPR, CCPA, and any applicable local regulations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KALEIO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We are not responsible for the accuracy, legality, or appropriateness of content submitted by users or third parties.

Kaleio is a platform provider. We are not a church, religious organization, or pastoral counseling service. Content shared through the prayer wall, testimonies, and care request features is user-generated and should not be treated as professional medical, legal, financial, or spiritual counseling.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KALEIO INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KALEIO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Kaleio Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any claim that your User Content caused damage to a third party.

By you. You may cancel your subscription and delete your account at any time through your account settings or by contacting support@kaleio.app.

By us. We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. In the event of termination for cause, any prepaid subscription fees are non-refundable.

Effect of termination. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitation of liability, and indemnification) shall survive.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to informal resolution by contacting us at legal@kaleio.app. If the dispute is not resolved within 60 days, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Dallas, Texas.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Kaleio. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

We may revise these Terms from time to time. When we make material changes, we will provide notice by email or by displaying a prominent notice in the platform at least 14 days before the revised Terms become effective. The "Last updated" date at the top of this page will reflect the most recent revision.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kaleio regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government action, or internet outages.
